Proposed Constitution
Preamble: Foundations
We who here affirm our beliefs:
- We believe in one God, Father Almighty, Creator of heaven and earth and of all things visible and invisible.
- We believe in one Lord Jesus Christ, the only begotten Son of God, begotten of the Father before all ages; Light of Light, true God of true God, begotten, not created, of one essence with the Father, through Whom all things were made.
- We believe that the Lord Jesus Christ, for us men and for our salvation, came down from heaven and was incarnate of the Holy Spirit and the Virgin Mary and became man.
- We believe that He was crucified for us under Pontius Pilate and suffered and was buried, and that He rose on the third day, according to the Scriptures.
- We believe that He ascended into heaven and is seated at the right hand of the Father, and that He will come again with glory to judge the living and dead.
- We believe that His kingdom shall have no end. We believe in the Holy Spirit, the Lord, the Creator of life, Who proceeds from the Father, Who together with the Father and the Son is worshipped and glorified, and Who spoke through the prophets.
- We believe in one, holy, catholic, and apostolic Church, confess one baptism for the forgiveness of sins, and look for the resurrection of the dead and the life of the age to come.
Do by this Constitution form an Organization, hereafter The Logos, which shall publish The Logos (a Greek term often translated as “thought,” “word,” “speech,” “meaning,” “reason,” “principle,” “standard,” or “logic”), a semesterly journal of Christian thought, to stimulate discussion of a Christian worldview at Yale in a way that is relevant, accessible, and engaging to the Yale community within its social and intellectual culture.
Article I: Members
- Membership shall be available to and only to all undergraduate students, graduate and professional students, and faculty members currently affiliated with Yale University.
- A Member shall be admitted upon approval of a Petition for Membership by at least four of the Officers.
- A Member shall retain his or her Membership for the duration of his or her affiliation with Yale University.
- A Member shall have his or her Membership suspended during a leave of absence, but shall return to full Membership upon his or her re-affiliation with Yale University.
- If he or she so choose, a Member shall resign his or her Membership by submitting a Notice of Resignation to the Executive Director.
- If a Member shall have been absent from at least three Meetings in a single semester, excluding absences accrued prior to his or her admittance as a Member, then the Member shall forfeit his or her Membership at the end of the semester. Forfeiture of Membership in this way shall be waived upon approval of a Waiver of Membership Forfeiture by at least two-thirds of the Custodians.
- A Member shall have his or her Membership revoked upon approval of a Revocation of Membership by at least four of the Officers or by at least two-thirds of the Custodians.
Article II: Officers
- From among the Members shall be elected five Officers: an Executive Director, an Editor-In-Chief, a Business Manager, a Production Manager, and a Scrivener.
- Only current Members who are also undergraduate students of Yale University shall serve as Officers.
- The Executive Director shall be first in seniority among the Officers, chair the Executive Committee, and perform other appropriate tasks.
- The Editor-In-Chief shall be second in seniority among the Officers, chair the Editorial Committee, and perform other appropriate tasks.
- The Business Manager shall be third in seniority among the Officers, chair the Business Committee, and perform other appropriate tasks.
- The Production Manager shall be fourth in seniority among the Officers, chair the Production Committee, and perform other appropriate tasks.
- The Scrivener shall be fifth in seniority among the Officers, serve on the Executive Committee, maintain the official list of Members, call the Role at Meetings, take notes at Meetings which he or she shall distribute to the Members, manage the archives, and perform other appropriate tasks.
- No Member shall serve concurrently in more than one Office.
- If he or she so choose, an Officer shall resign his or her Office by submitting a Notice of Resignation to the Executive Director, or to the Members while they be in Meeting.
- An Officer shall be removed from his or her Office upon approval of a Removal from Office by at least two-thirds of the Custodians.
- The President of the Board of Custodians shall appoint Officers from among the Members to serve in Offices made vacant by resignation, removal from office, or exceptional circumstances. An Officer appointed to a vacant Office in this way shall immediately assume his or her Office and shall retain it until the Members shall have Elected, at a special Election for this purpose or at the normal time of Elections, a new Officer to succeed him or her.
Article III: Committees
- Management of the affairs of The Logos shall be delegated to Committees, which shall assemble as necessary outside of Meetings to conduct their business, but which shall regularly report their work to the Members while they be in Meeting.
- Among the Committees there shall be four Standing Committees: the Executive Committee, the Editorial Committee, the Business Committee, and the Production Committee.
- The Executive Committee shall recruit new Members, direct publicity and external affairs, and supervise activities and programs.
- The Editorial Committee shall direct the redaction of The Logos and supervise its writers.
- The Business Committee shall administer business and financial affairs, applying as a student organization for UOFC funding, requesting financial gifts for The Logos from individuals and other organizations, and, if necessary, soliciting paid advertisements to be published in The Logos.
- The Production Committee shall oversee production and distribution of The Logos and maintain the website.
- The Executive Director shall form and dissolve appropriate Special Committees to conduct other business of The Logos, appointing a chair for each Special Committee from among the Members.
- The Chair of a Committee shall direct the work of the Committee, reporting such work regularly to the Members while they be in Meeting.
- Any Members shall be free to participate in any Committee, and all Members shall be encouraged to participate to the fullest of their capacity.
Article IV: Meetings
- The Executive Director shall call the Members to assemble regularly in Meeting, provided that a majority of the Members and a majority of the Officers, including at least the Executive Director or the Scrivener, shall be present at every Meeting.
- The Executive Director, or the Scrivener if the Executive Director be absent, shall preside at Meetings, and Members shall not assemble in Meeting without either the Executive Director or the Scrivener unless both Offices shall be vacant.
- In ordinary circumstances, Notice of Meeting shall be communicated to all Members by the Executive Director or by the Scrivener at least three days prior to the day of Meeting. In extraordinary circumstances, Notice of Meeting shall be communicated to all Members by the Executive Director or the Scrivener at least twenty-four hours prior to the time of Meeting.
- Members shall assemble in Meeting only at times when Yale University is in session.
Article V: Elections
- During each spring semester, the Executive Director shall arrange for Elections, which shall take place no earlier than 50 days before the end of the semester and no later than 20 days before the end of the semester.
- The President of the Board of Custodians shall preside at Elections, first reading aloud before the Members the Articles of this Constitution concerning Officers, Committees, and Elections.
- Officers shall be Elected from among the Members upon consensus of a majority of the same.
- An Officer shall assume his or her Office at the end of the semester of his or her Election and shall retain his or her Office until the end of the academic year following the semester of his or her Election.
- To promote continuity, all five Officers shall not be Elected from among a single graduating class of Yale University. This restriction shall be waived for a particular graduating class upon the prior approval of a Waiver of Officer Class Restriction by a majority of the Custodians.
Article VI: Custodians
- All current Members who are or have been at any time the Executive Director, the Editor-In-Chief, or the Business Manager, and who have never been removed from any Office, shall be Custodians.
- The Custodian who shall have earliest been the Executive Director shall be the President of the Board of Custodians.
- Custodians shall perform the tasks enumerated for them in this Constitution, and they shall hold the Members, Committees, and Officers accountable to this Constitution and to the Foundations of The Logos.
Article VII: Funds
- The Logos shall operate on a nonprofit basis, using its assets exclusively for the publication of The Logos and to further the Organization in its mission.
- The Business Manager shall maintain a record of all income and expenses of The Logos.
- In the case of dissolution, any remaining assets shall be distributed to Yale Students for Christ, a chapter of Campus Crusade International.
Article VIII: Amendments
- A Recommendation of Amendment to this Constitution shall be submitted by any Member or Members to the Members while they be in Meeting.
- A Recommendation of Amendment shall be submitted to the Custodians upon its approval by at least two-thirds of the Members while they be in Meeting.
- This Constitution shall be amended according to a Recommendation of Amendment upon its approval by at least two-thirds of the Custodians.
